PAUL HARRIS F.C.A., T.E.P, Acc.Dir., (Chairman) is a Fellow of the Institute of Chartered Accountants in England and Wales and a notary public for the Cayman Islands. He qualified with Ernst & Whinney in London before coming to the Cayman Islands in 1967 where he became the first British chartered accountant to take up residence and practice in the Islands. He is a founder member of the Cayman Islands Society of Professional Accountants, served as secretary to the Chamber of Commerce for eight years and is presently President of the Cayman Islands Company Managers Association (CICMA) and President of the Cayman Islands Directors Association (CIDA). He is also the CICMA representative on the Government Anti-Money Laundering Guide Notes Committee. He opened the first accounting office in the Cayman Islands for what is now Ernst & Young and later acted as Cayman correspondent for the international firm Ernst & Ernst. He founded International Management Services Ltd in 1974.

CHRISTOPHER BOWRING F.C.C.A, A.C.I.S, A.I.B., T.E.P. (Managing Director) Christopher Bowring came to the Cayman Islands from London, England in 1979. He is a fellow of the Association of Certified Accountants and Associate of the Institute of Chartered Secretaries and Administrators. He is also an Associate of the Chartered Institute of Bankers. Mr. Bowring is a founding member of the Society of Trust and Estate Practitioners in the Cayman Islands. He has acquired extensive experience in the management of various entities including trusts and corporations in a number of jurisdictions, in particular the Cayman Islands with Fiduciary Trust (Cayman) Limited as Managing Director and formerly with Deloitte Touche as senior trust officer. He became managing director of International Management Services Ltd in 2003.

MICHAEL J HOWARD (Director) Michael J. Howard has extensive offshore experience in both the Channel Islands and Cayman Islands. He worked for a leading firm of Chartered Accountants in Guernsey after which he was employed as a Trust Officer with Roy West Trust Corporation in Jersey until he moved to Cayman and joined IMS in 1981. He is an Accountant and a Fellow of the Institute of Directors in London. As a Director of IMS he specializes in the administration and development of captive insurance companies and private client business.

IAN GOODALL. M.A. (HONS), C.A.(Director) Ian Goodall, M.A. (Hons), C.A. Director/Secretary) is a member of the Institute of Chartered Accountants of Scotland. He obtained an M.A. (Hons) Upper Second in Economics and Geography at Glasgow University, qualified with Thomson McLintock, Glasgow and obtained further accounting experience in the shipping industry. Prior to joining IMS in 1989, he spent six years as an audit manager with Price Waterhouse & Co. He specializes in domiciliary services for offshore companies, yacht and ship registration and mutual funds.

GARY BUTLER LL.B. (HONS) ,DIP.L.P. (Director, General-Counsel) Gary Butler LL.B.(Hons), Dip.L.P. (In-House-Legal-Counsel) is a Solicitor of the High Court of England and Wales (non-practising). Mr Butler has previously also practised law in Scotland and the Cayman Islands. Prior to joining International Management Services Ltd ("IMS") Mr Butler worked as Legal Manager for the Close Brothers offshore group of companies across their Jersey, Guernsey and Isle of Man offices, advising on corporate, fiduciary and investment fund matters. Prior to that, he was a Senior Associate with Ogier, a top tier offshore law firm, working in their Business and Trust Law Group out of their Jersey office and has also worked in the formation of investment funds for a Cayman Islands law firm. His expertise is in the fields of corporate and fiduciary law, with an emphasis on offshore structures. Mr. Butler joined IMS in 2011.

MICHAEL O'CONNOR, B.Comm, CA (Australia) (Director, Financial Controller) Michael O'Connor, B.Com, C.A is the Financial Controller and IT Manager for IMS and its subsidiaries and is responsible for IMS accounting, data processing, storage and retrieval, disaster recovery and IT supervision. He is a member of the Institute of Chartered Accountants of Australia and obtained his Bachelor's degree at the University of Tasmania majoring in accounting and human resource management. Prior to joining IMS in 2006, he spent six years as an audit manager with WHK Denison the fifth largest accounting firm in Australia. He worked on a large portfolio of clients including superannuation funds, public companies, statutory bodies and other regulated entities. He has extensive knowledge of financial reporting guidelines and International Financial Reporting Standards, and has knowledge of accounting standards in several jurisdictions. He also has experience in forensic accounting and other internal assurance services, including information systems auditing.

PHILIP CATER, B.Com., C.A., (Fund Fiduciary)
Philip Cater, a resident of the Cayman Islands, received a Bachelor of Commerce degree in Accounting from the University of Auckland in 1984, and is a member of the Institute of Chartered Accountants of New Zealand. Mr. Cater is employed as a Company Manager for International Management Services Ltd., a firm engaged in the management of offshore corporations. Prior to joining International Management Services Ltd. he was the Funds Controller and Legal &Compliance Officer for UBS Fund Services (Cayman) Ltd (1999-2003), Managing Director of Dresdner Fund Administration (Cayman) Ltd (1996-1999), Project Accountant and then Joint Head of Middle Office at Kleinwort Benson Investment Management Ltd in London (1991-1996). Mr. Cater received his professional training with Ernst and Young in Auckland and the Cayman Islands. Mr. Cater joined IMS in 2003.

MARK COOK. B.COM, B.ECON, CA (AUSTRALIA), ACC.DIR Mark Cook, B.Com, B.Econ, CA (Australia), Acc.Dir. is employed as a Senior Company Manager for International Management Services Ltd. ("IMS"), a firm engaged in the management of offshore corporations. Prior to joining IMS in 2012, he was a Senior Vice President at Maples Fiduciary Services, where his primary role was to serve as a director of Cayman Islands investment funds covering a wide range of strategies and structures. He was first employed in the Cayman Islands in 2005 with Citco Fund Services (Cayman Islands) Limited after moving from a career in chartered accounting in Australia. Mr. Cook is a Chartered Accountant, a member of the Cayman Islands Society of Professional Accountants, the Cayman Islands Directors Association and the Institute of Chartered Secretaries and Administrators of Canada. The services of Mr. Cook as a director of funds are provided by IMS. Prior to joining Corporate Filing Services Ltd, a subsidiary of International Management Services Ltd, she spent five years with a Cayman Islands Law Firm and two years as a senior trust and company administrator with a Cayman Islands Bank. Melanie, who is a Notary Public for the Cayman Islands, specializes in providing services to groups of client companies on behalf of professional management companies located in offshore financial centers around the world, particularly Asia and the Far East. Mrs. Kelly is employed as a Manager-Fund Fiduciary Services for International Management Services Ltd (IMS), a firm engaged in the management of offshore corporations. From 2005 to 2007 Mrs. Kelly was a Fund Accounting Manager with Fortis Prime Fund Solutions where she gained extensive knowledge in the formation and management of mutual funds and company structures. Prior to working in the Cayman Islands she was employed by KMPG in the United Kingdom. Mrs. Kelly has 15 years accounting experience in various entities including mutual funds, trusts and corporations.

MIKE MCDONALD, CA., TEP Mike McDonald, CA., TEP., is a Chartered Accountant with extensive experience of providing directorship services to funds and companies in the Cayman Islands. He previously worked for Genesis Trust and Corporate Services Ltd (previously affiliated with KPMG) as a fund director where he specialised in the provision of trust, private wealth and corporate management services to companies, trusts, and related entities world wide. Prior to Genesis Trust Mr McDonald led a team of 8 fund accountants at Fortis Prime Fund Solutions (Cayman) Limited where he was responsible for the accurate calculation of Hedge Fund Net Asset Valuations. He started his career with KPMG. He is also a member of the Society of Trust and Estate Practitioners (STEP).

Prior to entering the commercial side of fund management, Mr. Ruddick worked with KPMG in Vancouver auditing mutual funds, banks, and insurance companies and later with KPMG in the Cayman Islands, where he worked in the Corporate Recovery department involving the liquidation of hedge funds and other regulated entities. TIM WOOLAVER, B.ACC., C.A., ACC.DIR Tim Woolaver, B.Acc., C.A., Acc.Dir is an experienced fund director and has served on the boards of hedge funds and special purpose vehicles for many years. Tim is a Canadian Chartered Accountant, holds the Accredited Director designation granted by the Institute of Chartered Secretaries in Canada and has a Bachelor of Accounting degree from Brock University in St Catherines, Ontario, Canada. He started his professional career as a Chartered Accountant in Canada, moving to the Cayman Islands in 1998 where he spent two years with PricewaterhouseCoopers auditing hedge funds and other offshore financial entities. He subsequently spent over seven years with Citco Fund Services (Cayman Islands) Limited as a Senior Account Manager. He was responsible for managing the entire relationship for a large group of hedge funds. During this time he liaised with investment managers, shareholders, auditors, legal counsel and other service providers on all matters. For nearly five years prior to joining IMS Fund Services, the hedge fund governance department of IMS, as a Senior Company Manager, he served exclusively as a hedge fund and special purpose vehicle director for many entities as Senior Vice President at Maples Fiduciary Services (Cayman) Limited. Mr. Woolaver is currently a resident of the Cayman Islands and has been since 1998.
